MGT-1 — Register of members

The statutory register of every shareholder and their holding, maintained by the company.

Section 88 requires every company to maintain a register of members recording each shareholder's name, address, class and number of shares held, and the dates on which they became and ceased to be a member. Form MGT-1 is the prescribed format; it is a register kept at the registered office (or with the RTA, for companies with one), not a document filed with the ROC on a schedule — it is produced on demand, at inspection, or during an audit.

The register of members is the primary source a diligence team cross-checks against the cap table spreadsheet, the PAS-3 filings, and the demat statements — and the three rarely agree in a company that has been maintaining the register manually.
