Who we are
Saral is operated by CapEasy (“we”, “us”). These terms govern use of the Saral website and product (“the service”) by the company that signs up (“you”, “your company”). By creating an account or using the service, your company agrees to these terms.
What the service is
Saral is cap table, ESOP and compliance record-keeping software for Indian companies. It helps your company maintain its securities ledger, track ESOP grants, and prepare MCA/FEMA/Income-tax filings. It is a workflow and record-keeping tool, not a law, accountancy or tax firm.
Accounts and access
Your company controls who on its team gets access, and at what role (founder, CS, CA, investor, employee). You are responsible for keeping sign-in access secure and for the actions taken under your company’s account. Tell us promptly if you suspect unauthorised access.
Your data is yours
Your company owns the data it puts into Saral — cap table records, stakeholder information, documents, and everything else. We process that data only to run the service for you, as described in our privacy policy and data processing addendum. We do not sell your data, and we do not use it for any purpose other than providing the service.
Acceptable use
- Use the service only for lawful business purposes connected to your own company’s equity and compliance work.
- Do not attempt to access another company’s data, or to circumvent account or row-level access controls.
- Do not misuse the service to store or transmit unlawful content, or to reverse-engineer, scrape or resell the software.
- Enter accurate data. Saral computes and tracks based on what you enter; it cannot verify facts about your company that only you know.
Availability
Saral is in early access. We work to keep the service available and reliable, but during early access we do not guarantee any specific uptime, and the service may have downtime, bugs, or changes without notice. We will tell you about planned maintenance where we can.
Fees and billing
Pricing shown during early access is introductory and may change. We will confirm pricing with your company, in writing, before any charge is made — nothing is billed without that confirmation. Once agreed, fees and billing terms will be set out in an order form or invoice referencing these terms.
The professional boundary
Saral prepares documents, runs calculations, and tracks deadlines. It does not give legal, accountancy, tax or investment advice, and it is not a law firm, chartered accountancy firm or registered valuer. Filings, certifications and professional sign-off must come from a practising Company Secretary, Chartered Accountant, or lawyer engaged by your company — Saral never files, certifies or pays on your behalf. Decisions based on Saral’s output remain your company’s responsibility, taken with your own professional advisors.
Limitation of liability
The service is provided on an “as is” and “as available” basis during early access. To the maximum extent the law allows, we are not liable for indirect, incidental or consequential losses arising from use of the service. Nothing in these terms limits liability where the law does not permit it to be limited.
Term and termination
These terms apply for as long as your company uses the service. Either side may end the arrangement with written notice. On termination, we will give your company a reasonable window to export its data in a usable format before we delete it, except where we must retain records under law.
Changes to these terms
We may update these terms as the product and its legal review evolve. We will post changes here with a dated note, and will notify account holders by email before material changes take effect.
Governing law and jurisdiction
These terms are governed by the laws of India. Courts at [CITY] have exclusive jurisdiction over any dispute arising from these terms or the service.
